Role Summary/Purpose Provide legal advice and business perspective on all aspects of workout, restructuring, bankruptcy, collection and risk analysis for GE Capital Americas US leasing and lending business.
Essential Responsibilities Provide legal advice and business perspective on all aspects of US leasing business including but not limited to: new products/markets, acquisitions, joint ventures, business development, integrations, operations, employee matters, growth intiatives, corporate governance, litigation and customer disputes.
Build and lead compliance organization; oversee development of compliance agenda; sponsor and support compliance intiatives.
Structure, negotiate, and draft complex agreements, such as: acquisition agreements, joint ventures, and vendor prorgam agreements.
Participate in the development and implementation of new processes, or identify and lead corrective action on existing ones, with the goals of resolving unanticipated procedural compliance risks.
Provide legal advice and support on significant litigations, bankruptcies, restructurings and workouts.
Provide legal advice on regulatory issues/matters facing the business
Identify and lead projects to simplify legal processes.
Qualifications/Requirements Basic Requirements:
- YOU MUST BE ABLE TO SATISFY THE REQUIREMENTS OF SECTION 19 OF THE FEDERAL DEPOSIT INSURANCE ACT.
- Bachelors Degree, J.D, and licensed to practice in at least one US State.
- Minimum of 7 years of legal experience combining corporate legal and private law settings including significant experience with matters pertaining to leasing, commercial transactions, antitrust, litigation management, compliance and general corporate law matters.
- Experience in UCC (especially Articles 2, 2A and 9), licensing, intellectual property, and credit and collection legal matters.
- Established ability to influence actions without direct leadership responsibility for teams or processes with a proven ability to build relationships within a matrixed environment (both cross-functionally and cross-business).
- Superior communication skills - both written and verbal - with a demonstrated ability to communicate to all "customers" internally and externally to the business.
- Demonstrated ability to think and lead on a strategic level within an organization.
- Experience within financial services industry - including an ability to understand all facets of financial services, such as: leasing, secured lending, and asset management.
- Demonstrated track record of investigating and resolving complex compliance issues.
Eligibility Requirements:
- Must be a member in good standing of one or more state bars or the D.C. bar
- Must be proficient in MS Office Suite (Word, Excel, PowerPoint, Access).
